Club Code of Conduct
Effective August 2026
1. Purpose
Foundxrs Club is a private community built around meaningful relationships, professional growth, collaboration and mutual support. This Code of Conduct sets out the standards of behaviour expected of Members and is intended to help maintain a respectful, inclusive, professional and safe environment in which Members can connect, learn and thrive.
This Code should be read alongside the Foundxrs Club Membership Terms & Conditions, Privacy Policy and any other reasonable policies or rules issued by the Club from time to time.
2. Scope
This Code applies to all Members, regardless of Membership category. Members are also expected to behave appropriately towards guests, speakers, venue teams, partners, sponsors, Club staff and others connected with Foundxrs Club.
The Code applies at Club events, on Club communication channels, in digital forums and messaging groups, in communications and interactions between Members arising through the Club and, where there is a sufficient connection to Membership, to conduct outside formal Club activities.
The Club does not seek to regulate Members' private lives. Conduct outside the Club will ordinarily only fall within this Code where the relationship, interaction or circumstances arose from or relate to Foundxrs Club and the conduct may reasonably affect another Member, guest, former Member, an individual connected with the Club, the Club community, the Club's reputation or its legitimate interests.
3. Equality, Inclusion and Respect
Foundxrs Club is committed to equality of opportunity and an inclusive community. Membership decisions, access to Club benefits, facilities, services, events and activities, and the application of this Code will be managed without unlawful discrimination, harassment or victimisation.
Members must treat others with dignity, courtesy and respect and must not discriminate against, harass, victimise, bully, intimidate or abuse another person.
These standards apply in relation to age, disability, gender reassignment, pregnancy and maternity, race, religion or belief, sex and sexual orientation, and to any other characteristic protected by applicable law.
4. Disability and Reasonable Adjustments
Foundxrs Club will consider and make reasonable adjustments for disabled Members, applicants, associates and guests where required by applicable law in relation to access to Membership benefits, facilities, services and activities, and in relation to the retention or variation of Membership rights.
Members who require an adjustment are encouraged to contact the Club. The Club may discuss the person's needs and appropriate reasonable steps with them. A request for, or use of, a reasonable adjustment will not of itself result in adverse treatment.
5. Harassment, Sexual Misconduct and Personal Boundaries
Bullying, harassment, sexual harassment, unwanted sexual advances, unwanted physical contact, coercive or threatening behaviour, stalking, persistent unwanted communication and abusive behaviour of any kind will not be tolerated.
Consent and personal boundaries must be respected. Participation in Club events, social settings, messaging groups, private meetings or previous friendly, personal or romantic interactions does not imply consent to sexual, romantic, physical or otherwise unwanted conduct.
Conduct may breach this Code whether it occurs once or repeatedly, depending on its nature, seriousness, context and impact.
6. Professionalism, Business Integrity and Collaboration
Members are expected to conduct themselves professionally in their dealings with the Club and with one another. Foundxrs Club is not a party to, and does not guarantee or accept responsibility for, Member-to-Member commercial arrangements unless the Club has expressly agreed otherwise in writing.
- Act honestly and ethically and not knowingly mislead Members or the Club.
- Share ideas, feedback and advice constructively and respectfully.
- Not engage in fraudulent, deceptive or improper business practices.
- Not misrepresent identity, qualifications, experience, affiliations, authority or relationship with Foundxrs Club.
- Not use Membership, Club access or Member information for fraudulent, deceptive or improper purposes.
- Avoid unsolicited selling, spam, persistent commercial approaches or inappropriate business messaging.
- Respect that commercial arrangements between Members are entered into independently.
7. Confidentiality, Privacy and Trust
Members must respect personal and business information shared in confidence and must not disclose confidential information without permission, except where disclosure is reasonably necessary to raise a genuine concern, obtain legal or professional advice, protect a person from harm or comply with a legal obligation.
Members must not secretly record private conversations or record, photograph, publish or disclose private conversations, confidential event content, messages or sensitive material without appropriate consent where doing so would breach another person's reasonable expectation of privacy, applicable law or an express Club rule.
Nothing in this section prevents a Member from retaining or providing relevant evidence when raising a genuine concern, participating in a Club enquiry, seeking professional advice or exercising a legal right.
8. Events and Club Spaces
Members are expected to respect event hosts, speakers, organisers, venue teams, Club staff, guests and fellow attendees; follow reasonable event, venue and safety instructions; RSVP responsibly; be present, punctual and considerate; avoid disruptive, threatening, unsafe or inappropriate behaviour; and respect the confidentiality of discussions or information identified as private or confidential.
9. Raising a Concern
Members are encouraged to raise concerns promptly with the Managing Director, another appropriate member of the Foundxrs Club team or by emailing hi@foundxrsclub.com if they experience, witness or become aware of behaviour that may breach this Code.
A report should, where possible, provide enough information for the Club to understand the concern. The Club may request relevant messages, documents, witness details or other information that may assist its assessment.
The Club will take concerns seriously and determine the appropriate response having regard to the nature, seriousness and circumstances of the matter.
10. No Retaliation or Victimisation
Retaliation, intimidation, threats, victimisation or adverse treatment directed at a person because they raised a concern, made or supported a complaint, provided information, supported another person, exercised rights under equality law or participated in a Club enquiry will not be tolerated and may itself constitute a serious breach.
This does not prevent appropriate action where the Club reasonably concludes that a report or evidence was knowingly false, malicious or deliberately misleading.
11. Initial Assessment and Investigation
The Club may carry out an initial assessment and such proportionate enquiries as it reasonably considers necessary. This may include speaking with relevant people and considering messages, correspondence, documents, recordings or other relevant material.
The Club may determine that a matter is primarily a private commercial dispute, a matter for another authority or otherwise outside the scope of this Code. It may nevertheless take reasonable steps to protect Members, others connected with the Club or its legitimate interests.
The process is an internal Membership and governance process and does not determine criminal, civil or regulatory liability.
12. Opportunity to Respond
A Member who is the subject of a complaint or concern will ordinarily be informed of the substance of the concern and given a reasonable opportunity to respond before a final adverse Membership decision is made.
The Club may withhold particular information, identities or material where reasonably necessary to protect another person, preserve confidentiality, comply with law or protect the integrity of an enquiry, provided the process remains fair in the circumstances.
Where a disability or other relevant need affects a person's ability to participate in the process, the Club will consider reasonable adjustments where required by law.
13. Interim Protective Measures
The Club may take reasonable interim measures while a matter is being assessed or investigated where necessary to protect Members or others, preserve the integrity of an enquiry or protect the Club's legitimate interests.
Measures may include restricting contact through Club channels, limiting attendance at particular events or activities, or temporarily suspending some or all Membership privileges. An interim suspension is a neutral protective measure and is not a disciplinary finding.
14. Confidentiality of Concerns and Investigations
Concerns and investigations will be handled sensitively and, where reasonably possible, confidentially. Absolute confidentiality cannot be promised.
Information may be shared where reasonably necessary to assess or investigate a matter, allow a Member to respond, obtain legal or professional advice, comply with legal or regulatory obligations, protect an individual or reach and implement an informed decision.
Members involved in a complaint or enquiry may be asked to respect confidentiality while the matter is ongoing. This does not prevent a person from obtaining confidential legal, medical or other professional support, reporting a matter to an appropriate authority or exercising legal rights.
15. Decision-Making
Membership decisions under this Code will be made in good faith, acting reasonably and on the balance of probabilities, after considering the information reasonably available to the Club.
In determining an outcome, the Club may consider the nature and seriousness of the conduct, its impact, any pattern of behaviour, reliability of information, acceptance of responsibility, mitigating or aggravating circumstances, reasonable adjustments where relevant, and the safety, wellbeing, integrity and legitimate interests of the Club community.
The Club will not unlawfully discriminate against, harass or victimise a Member in the way it applies this Code, varies Membership rights, restricts access to benefits or facilities, suspends Membership or terminates Membership.
16. Possible Outcomes and Disciplinary Action
Where no breach is found, the Club may take no further action. Where a breach is found, the Club may take one or more proportionate actions. The Club is not required to apply these measures sequentially, and serious conduct may justify immediate suspension or termination without a prior warning where the circumstances reasonably warrant it.
- Informal guidance or advice.
- A verbal or written warning.
- Conditions on continued Membership or participation.
- Restriction or exclusion from particular events, groups, communications or activities.
- Temporary suspension of some or all Membership privileges.
- Termination of Membership.
17. External Proceedings
The Club may consider a matter whether or not it has been reported to the police, a regulator, a court or another organisation and is not automatically required to await external proceedings before making a Membership decision, although it may pause or adapt its process where appropriate.
Any decision under this Code is solely a Membership and governance decision and does not determine criminal, civil or regulatory liability.
18. Review of a Final Decision
Where Membership is suspended or terminated following a final decision, the Member may request a review in writing within 14 days of notification.
A review is not a full rehearing. It should identify material procedural unfairness, significant new information that could not reasonably have been provided earlier, or a decision materially inconsistent with the information considered.
Where reasonably practicable, a person who was not the original decision-maker may consider the review. The review outcome will be final for the Club's internal process.
19. Former Members and Ended Relationships
The Club will not unlawfully discriminate against, harass or victimise a former Member, associate or guest in circumstances where applicable equality law continues to protect that person after the relevant relationship has ended.
Nothing in this section prevents the Club from maintaining proportionate records or enforcing lawful obligations that survive termination.
20. Records and Data
The Club may retain appropriate records of concerns, enquiries, evidence, reasonable-adjustment requests and outcomes in accordance with applicable data protection law, its Privacy Policy and legitimate business needs. Access will be limited to those with a legitimate need to know or where disclosure is required or permitted by law.
21. Relationship with Membership Terms & Conditions
This Code forms part of the governance framework for Foundxrs Club Membership and should be read alongside the Membership Terms & Conditions. A breach of this Code may constitute a breach of those Terms.
If there is an inconsistency between this Code and the Membership Terms & Conditions, the Membership Terms & Conditions will prevail unless expressly stated otherwise.
22. Amendments and Member Acknowledgement
The Club may review and amend this Code from time to time to reflect changes in law, best practice, Membership arrangements or operational needs. Material amendments will be communicated to Members before they take effect.
By applying for, accepting, renewing or continuing Membership, each Member agrees to comply with this Code and the Membership Terms & Conditions. Every Member shares responsibility for maintaining the integrity, reputation and culture of Foundxrs Club.
